1. Application

These sales and delivery terms apply to all offers, sales, and deliveries from Sabetoflex ApS, unless otherwise explicitly agreed in writing between the parties.

2. Offers and Order Confirmation

All offers from Sabetoflex ApS are valid for 30 days unless otherwise stated. An agreement is binding only when Sabetoflex ApS has sent an order confirmation to the buyer.

3. Prices

All prices are exclusive of VAT and in Euro, unless otherwise stated. Prices are based on costs at the time of the offer. Sabetoflex ApS reserves the right to adjust prices due to significant changes in the costs of raw materials, wages, etc.

4. Delivery

Delivery is from Sabetoflex ApS's warehouse and is Incoterms 2020 EXW (Ex Works in Roslev), unless otherwise agreed. The risk for the goods transfers to the buyer upon pickup.

5. Payment

Payment terms are net 30 days from the invoice date, unless otherwise agreed. Interest is calculated on late payments according to the current interest rate in the "Interest Act".

6. Retention of Title

Sabetoflex ApS retains ownership of the delivered goods until the full purchase price, including any interest and costs, has been paid.

7. Complaints and Defects

Complaints regarding defects must be reported to Sabetoflex ApS within 8 days of receiving the goods. Sabetoflex ApS commits to remedying legitimate defects as soon as possible.

8. Limitation of Liability

Sabetoflex ApS's liability for any errors and defects in delivered goods is limited to exchange or repair of the defective product. No compensation is provided for operational losses, time losses, or other indirect losses.

9. Force majeure

Sabetoflex ApS is not liable for failure to fulfill agreements caused by force majeure, including war, rebellion, natural disasters, strikes, lockouts, import and export restrictions, and other conditions over which Sabetoflex ApS has no control.

10. Disputes

Any dispute between the parties should be resolved amicably. If this is not possible, the dispute shall be settled by the Court in Viborg under Danish law.
